Albertsons and Kroger Pause Merger

Albertsons and Kroger have been in talks to merge since October 2022, however, the deal has faced many challenges. The Federal Trade Commission (FTC) moved to block a $25 billion merger between Kroger and Albertsons, citing concerns that it could negatively impact consumers by reducing competition in the grocery sector. This merger, the largest in U.S. supermarket history, would combine major brands like Safeway and Vons under one umbrella.

The FTC is worried that merging these two large retailers, amid rising food prices, could lead to even higher costs for consumers as well as job losses. Despite Kroger and Albertsons arguing that the merger would strengthen their competitive position against non-union competitors like Walmart and Amazon, critics believe it might reduce market competition.

To address antitrust concerns, Kroger and Albertsons proposed selling hundreds of stores to C&S Wholesale Grocers. However, the FTC remains skeptical, citing past failures in similar divestiture efforts, such as the 2014 merger between Albertsons and Safeway, which led to the bankruptcy of the buyer, Haggen. FTC Chair Lina Khan has criticized such solutions, suggesting they often fail to maintain competitive markets. Kroger plans to contest the FTC’s decision, arguing the merger would be beneficial for consumers and workers.


However, according to The Independent, the two grocers have reached a temporary injunction in Colorado, where State Attorney General Phil Weiser filed a lawsuit to prevent the $24.6 billion deal from proceeding. Meanwhile, the FTC is also “pursuing an injunction. A hearing is expected to occur on August 26.”

As a result, the merger between Albertsons and Kroger has been officially put on pause while both court cases play out. At this time, the merger will only be feasible based on the outcomes of these two trials.

“We look forward to defending in court how the combination of Kroger and Albertsons will provide meaningful, measurable benefits, including lower prices and more choices for families across the country and more opportunities for stable, well-paying union jobs,” a spokesperson for the two companies stated.
